Companies that are 'Code Companies' for the purposes of the Takeovers Code may be required to appoint an independent expert to produce an Independent Adviser's Report opining on the merits of a full or partial takeover offer, or of various allotments or acquisitions of securities affecting control.

Similarly, listed companies are required to obtain an Independent Appraisal Report in the event of a material transaction with a related party, or for various issues of shares.

Our corporate finance team:

  • Has been previously approved by the Takeovers Panel and NZX Regulation to prepare independent reports
  • Contains significant experience in the preparation of independent reports under a number of provisions of the Takeovers Code and Listing Rules
  • Does not experience the same level of potential conflicts when establishing independence to the regulators' satisfaction as do some of the larger, full service firms
  • Is very responsive in meeting the tight deadlines typical of these engagements
